Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Rodent2Human website, platform, Clarisyn service, AI-powered tools, reports, outputs, and related services (collectively, the “Service”).

These Terms form a legally binding agreement between you and Rodent2Human (“Rodent2Human,” “we,” “us,” or “our”). By creating an account, clicking to accept these Terms, accessing the Service, or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of a company, university, laboratory, institution, or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” and “your” refer both to you individually and to that organization.

If you do not agree to these Terms, you must not access or use the Service.

These Terms should be read together with our Privacy Policy and Cookie Policy.

1. The Service

Rodent2Human provides Clarisyn, an AI-powered research platform designed to support drug discovery, biomedical research, scientific analysis, and related research workflows.

The Service may allow users to submit natural-language queries, prompts, documents, datasets, or other research materials (“Input”) and receive structured analytical reports, summaries, recommendations, or other AI-generated responses (“Output”).

The Service is intended for professional, scientific, research, and internal business use only.

2. Important Research and Professional Disclaimer

The Service and any Output generated by the Service are provided for informational and research-support purposes only.

The Service does not provide:

  • Medical advice
  • Clinical advice
  • Diagnosis or treatment recommendations
  • Regulatory advice
  • Legal advice
  • Financial or investment advice
  • Laboratory, safety, or operational instructions
  • Any other professional advice requiring a licensed or qualified professional

Outputs may be incomplete, inaccurate, outdated, misleading, or unsuitable for your specific use case. You are solely responsible for independently reviewing, validating, and verifying all Outputs before relying on them.

You must not rely on the Service or any Output as the sole basis for medical, clinical, regulatory, investment, safety-critical, or other high-impact decisions.

3. Eligibility

To use the Service, you must:

  • Be at least 18 years old;
  • Be able to enter into a legally binding agreement;
  • Use the Service only for lawful professional, research, internal business, or organizational purposes;
  • Have authority to use the Service and submit any Input you provide;
  • Comply with these Terms and all applicable laws and regulations.

You may not use the Service if you are prohibited from doing so under applicable law or if we have previously suspended or terminated your access.

4. Accounts and Access

Access to certain parts of the Service may require creating an account.

You agree to:

  • Provide accurate, current, and complete account information;
  • Keep your login credentials confidential and secure;
  • Not share your account credentials with third parties;
  • Promptly update your account information if it changes;
  • Notify us immediately if you suspect unauthorized access to your account.

You are responsible for all activity that occurs under your account, whether or not authorized by you, unless caused by our breach of these Terms.

We may suspend or restrict access to your account if we reasonably believe that your account has been compromised, used unlawfully, or used in violation of these Terms.

5. Organizational Use

If you access or use the Service through an account provided by or associated with your employer, university, laboratory, institution, or organization, that organization may have rights to access, manage, control, or receive information about your account and use of the Service.

If an organization pays for your access to the Service or provides you with credentials, your use may be subject to that organization’s policies and agreements with us.

You are responsible for ensuring that your use of the Service and any Input you submit complies with your organization’s rules, confidentiality obligations, and applicable laws.

6. Acceptable Use

You may use the Service only in accordance with these Terms and applicable law.

You must not:

  • Use the Service for any unlawful, harmful, fraudulent, deceptive, abusive, or unauthorized purpose;
  • Submit Input that you do not have the right, permission, or authority to submit;
  • Upload or process personal data, confidential information, or third-party proprietary information without appropriate rights, consents, or legal basis;
  • Submit personal health data, identifiable patient data, identifiable genetic data, biometric data, or other sensitive personal data unless expressly permitted by a separate written agreement with us;
  • Use the Service to make medical, clinical, regulatory, safety-critical, or high-impact decisions without appropriate expert review;
  • Use the Service to generate content intended to deceive, defraud, impersonate, harass, abuse, or harm others;
  • Reverse engineer, decompile, disassemble, scrape, crawl, copy, extract, or attempt to discover the source code, models, algorithms, systems, prompts, training data, or underlying components of the Service;
  • Use automated methods to access the Service except as expressly permitted by us;
  • Circumvent access controls, authentication systems, security measures, usage limits, or rate limits;
  • Interfere with, disrupt, overload, damage, or impair the Service or its infrastructure;
  • Use the Service to develop, train, or improve a competing product or service without our prior written consent;
  • Resell, sublicense, lease, rent, transfer, or otherwise commercially exploit access to the Service without our prior written consent;
  • Introduce viruses, malware, or other harmful code;
  • Use the Service in a way that infringes or violates intellectual property, privacy, confidentiality, or other rights of any person.

We may suspend or terminate your access if we reasonably believe you have violated this section.

7. Prohibited Sensitive Data

Unless we have expressly agreed otherwise in a separate written agreement, you must not submit, upload, or process through the Service any of the following:

  • Identifiable patient records or protected health information;
  • Identifiable genetic, genomic, or biometric data;
  • Personal data of children or minors;
  • Government-issued identification numbers;
  • Payment card data or financial account credentials;
  • Passwords, security credentials, or authentication secrets;
  • Precise geolocation data;
  • Criminal history data;
  • Special category personal data under UK GDPR or EU GDPR, including racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, health data, sex life, or sexual orientation;
  • Any data that is subject to heightened legal, regulatory, or contractual restrictions unless you have obtained our prior written approval.

De-identified, anonymized, aggregated, or non-personal research data may be submitted where permitted by applicable law and your contractual obligations.

8. User Input

As between you and Rodent2Human, you retain ownership of the Input you submit to the Service.

You grant Rodent2Human a limited, non-exclusive, worldwide, royalty-free license to use, host, store, copy, process, transmit, display, and modify your Input solely as necessary to:

  • Provide, operate, and maintain the Service;
  • Process your requests;
  • Generate Output;
  • Provide support;
  • Ensure security and prevent misuse;
  • Comply with applicable law;
  • Enforce these Terms;
  • Improve the Service as described in these Terms and our Privacy Policy.

You represent and warrant that:

  • You have all rights, licenses, permissions, and consents necessary to submit the Input;
  • Your Input does not violate applicable law or third-party rights;
  • Your Input does not breach confidentiality, privacy, intellectual property, contractual, or professional obligations;
  • Your Input is not unlawful, harmful, or prohibited under these Terms.

You are solely responsible for your Input and the consequences of submitting it to the Service.

9. Output and Reports

The Service may generate reports, summaries, analyses, recommendations, or other Output based on your Input.

Subject to your compliance with these Terms, you may use Output for your internal research, professional, and business purposes.

As between you and Rodent2Human, and to the extent permitted by applicable law, you own the Output generated specifically for you from your Input, excluding:

  • Rodent2Human’s underlying technology, platform, software, models, methods, templates, workflows, prompts, systems, and know-how;
  • Third-party materials, datasets, publications, or licensed content;
  • General insights, methods, ideas, or know-how that are not specific to your confidential Input.

You acknowledge that:

  • Output may not be unique;
  • Similar or identical Output may be generated for other users;
  • Output may contain errors, omissions, outdated information, or unsupported assumptions;
  • Output may be based on third-party sources or public information that we do not control;
  • You are responsible for validating Output before using it.

You may not publicly distribute, publish, resell, sublicense, or commercialize Output as a standalone product or dataset without our prior written consent, except where expressly permitted by your subscription plan or a separate written agreement.

10. AI Processing and Model Training

The Service uses artificial intelligence systems and third-party AI infrastructure providers to process Input and generate Output.

Unless clearly stated otherwise or expressly agreed with you or your organization:

  • We do not sell your Input or Output;
  • We do not use your confidential Input, uploaded files, or private Output to train or fine-tune third-party foundation models;
  • We use your Input and Output only as necessary to provide, maintain, secure, support, and improve the Service, as described in these Terms and our Privacy Policy.

We may use aggregated, anonymized, de-identified, or statistical usage data to analyze, maintain, and improve the Service, provided it does not identify you, your organization, or your confidential Input.

11. Confidentiality

We understand that Input submitted to the Service may contain confidential, proprietary, scientific, commercial, or research information.

Rodent2Human will treat non-public Input and Output as confidential and will not disclose it except:

  • As necessary to provide, operate, secure, or support the Service;
  • To authorized service providers and processors under appropriate confidentiality and data protection obligations;
  • As required by law, regulation, court order, or lawful request;
  • To enforce these Terms or protect the rights, safety, and security of Rodent2Human, users, or others;
  • With your consent or instruction.

For enterprise, institutional, or regulated use cases, additional confidentiality, data protection, or security terms may be set out in a separate written agreement, NDA, DPA, or enterprise agreement.

12. Our Intellectual Property

Rodent2Human and its licensors own all rights, title, and interest in and to the Service, including:

  • Software;
  • Source code and object code;
  • AI systems, models, workflows, and architecture;
  • Prompts, templates, methods, and processes;
  • User interface and design;
  • Databases and technical infrastructure;
  • Documentation;
  • Brand names, logos, and trademarks;
  • All related intellectual property rights.

Except for the limited right to use the Service under these Terms, no rights are granted to you in the Service.

You must not remove, obscure, or alter any proprietary notices in the Service.

13. Feedback

If you provide suggestions, comments, ideas, bug reports, or feedback about the Service (“Feedback”), you grant Rodent2Human a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, commercialize, and incorporate that Feedback into our products and services without obligation to compensate you.

Feedback does not include your confidential Input or private Output.

14. Third-Party Services and Providers

The Service may rely on, integrate with, or provide access to third-party services, infrastructure, models, data sources, tools, or websites.

These may include AI infrastructure providers, cloud hosting providers, analytics providers, payment processors, authentication providers, and external research or publication sources.

We are not responsible for third-party services that we do not control. Your use of third-party services may be subject to their own terms, policies, and privacy notices.

We do not guarantee the availability, accuracy, reliability, legality, or security of third-party services or third-party content.

15. Payment, Subscriptions, and Billing

Certain features of the Service may be free, while others may require payment or a subscription.

Pricing, subscription plans, billing cycles, usage limits, and included features will be provided at the time of purchase, in your order form, or in a separate written agreement.

Unless otherwise stated:

  • Fees are billed in advance;
  • Fees are non-refundable except where required by law or expressly stated in writing;
  • You are responsible for all applicable taxes, duties, and charges;
  • Subscriptions may renew automatically unless cancelled before the renewal date;
  • You authorize us or our payment processor to charge your selected payment method for applicable fees;
  • Failure to pay may result in suspension, downgrade, or termination of access.

We may change our pricing or subscription plans from time to time. Where required, we will provide reasonable notice before changes take effect.

Enterprise pricing, custom billing terms, usage limits, service levels, or refund rights may be governed by a separate written agreement.

16. Cancellation and Termination

You may stop using the Service at any time. You may request account deletion by contacting us at ravzanazli@rodent2human.com.

If you cancel a paid subscription, your access to paid features will usually continue until the end of the then-current billing period, unless otherwise stated in your plan or agreement. You will not receive a refund for fees already paid unless required by law or expressly agreed in writing.

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe that:

  • You have violated these Terms;
  • You have used the Service unlawfully or harmfully;
  • Your use creates security, legal, regulatory, commercial, or technical risk;
  • Your account has been compromised;
  • Payment is overdue;
  • We are required to do so by law or by a third-party provider.

Upon termination, your right to access and use the Service will end. Certain provisions of these Terms will continue to apply after termination, including provisions relating to intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, and governing law.

17. Changes to the Service

We may modify, update, suspend, discontinue, or limit the Service or any part of it at any time.

We do not guarantee that the Service will always be available, uninterrupted, secure, error-free, or compatible with your systems.

We may impose usage limits, rate limits, storage limits, or other technical restrictions to protect the Service and ensure fair use.

18. Privacy and Data Protection

Our collection and use of personal data is described in our Privacy Policy.

Our use of cookies and similar technologies is described in our Cookie Policy.

By using the Service, you acknowledge that you have read our Privacy Policy and Cookie Policy.

If you submit personal data to the Service, you are responsible for ensuring that you have a valid legal basis and any necessary consents, notices, or permissions to do so.

19. Disclaimers

The Service and all Output are provided on an “as is” and “as available” basis.

To the fullest extent permitted by applicable law, Rodent2Human disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of accuracy, completeness, reliability, availability, merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that:

  • The Service will meet your requirements;
  • The Service will be uninterrupted, secure, timely, or error-free;
  • Any Output will be accurate, complete, current, or suitable for your purposes;
  • Any errors or defects will be corrected;
  • The Service will be free from harmful components;
  • Third-party services or data sources will be accurate, available, or reliable.

You use the Service and rely on Output at your own risk.

20. Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Rodent2Human, its officers, directors, employees, contractors, affiliates, agents, licensors, and service providers from and against any claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising out of or relating to:

  • Your use of the Service;
  • Your Input or Output;
  • Your violation of these Terms;
  • Your violation of applicable law;
  • Your infringement or violation of third-party rights;
  • Your breach of confidentiality, privacy, data protection, or professional obligations;
  • Any unauthorized use of the Service through your account.

21. Limitation of Liability

To the fullest extent permitted by applicable law, Rodent2Human will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings, arising out of or relating to your use of or inability to use the Service.

This includes damages arising from:

  • Reliance on Output or reports generated by the Service;
  • Errors, omissions, inaccuracies, or outdated information in Output;
  • Loss or corruption of data;
  • Unauthorized access to or use of your account;
  • Service interruptions or unavailability;
  • Third-party services, systems, models, or data sources.

To the fullest extent permitted by applicable law, Rodent2Human’s total aggregate liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of:

  • The amount you paid to Rodent2Human for the Service in the twelve (12) months before the event giving rise to the claim; or
  • £100.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for fraud, fraudulent misrepresentation, or any liability that cannot be excluded under applicable law.

22. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or the Service will be governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms or the Service.

If you are using the Service as a consumer and applicable law gives you mandatory rights in your country of residence, nothing in these Terms is intended to limit those mandatory rights.

23. Changes to These Terms

We may update these Terms from time to time.

When we update these Terms, we will revise the “Last updated” date at the top of this page.

If we make material changes, we may provide notice by email, in-platform notice, or another appropriate method.

Unless otherwise stated, updated Terms will become effective when posted. If we provide advance notice for material changes, the updated Terms will become effective on the date specified in the notice.

Your continued use of the Service after updated Terms become effective means that you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

24. Miscellaneous

These Terms, together with any policies or agreements incorporated by reference, constitute the entire agreement between you and Rodent2Human regarding the Service.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, or by operation of law.
